Business User Supplemental Terms

These Business User Supplemental Terms (these “Business Terms”) modify but are not in lieu of, your rights and obligations under the Fireflies Terms of Service (the “Terms”). For information about how we collect, use, share and otherwise process information about you, please see our Privacy Policy.

To the extent there is a conflict between these Business Terms and the Terms or any other Supplemental Terms, these Business Terms will govern such conflict. Capitalized terms used but not otherwise defined in these Business Terms have the meanings set forth in the Terms.

1. Business and Enterprise Use

These Business Terms only apply to you if you maintain an active Recurring Subscription for a plan designated as “Business” or “Enterprise” or have been assigned a Seat under such a plan. If you cancel your Recurring Subscription, switch to a subscription plan other than Business or Enterprise, or are no longer assigned a Seat under such a plan, these Business Terms no longer apply to you.

2. Security Commitments

Fireflies will implement physical, technical, and organizational measures designed to protect User Content against accidental or unlawful loss, access, use, alteration, or disclosure and minimize security risks, including through risk assessments and testing. Fireflies will maintain a compliance program that includes independent third-party audits and certifications, including SOC 2.

3. Service Warranty

Fireflies will perform the Services in a professional and workmanlike manner consistent with generally accepted industry standards. Fireflies warrants that, when used in accordance with these Business Terms and the Terms, the Services will substantially conform with Fireflies' documentation (as may be updated by Fireflies from time to time) as made publicly available on its Site.

4. Indemnification by Fireflies

Fireflies will defend and indemnify you against and for any costs or damages (including reasonable attorneys' fees) finally awarded in a third-party legal proceeding or any settlement amounts payable to a third party, to the extent arising out of a third-party claim alleging that Fireflies' technology used to provide the Services infringes any third party's intellectual property rights. This excludes claims to the extent arising from:

(a) your failure to comply with these Business Terms and the Terms,
(b) a combination of Fireflies' technology with materials not provided by Fireflies or on Fireflies' behalf, where Fireflies' technology would not by itself be infringing,
(c) modification or unauthorized use of the Services by you or on your behalf, or
(d) User Content.

5. Limitation of Liability

Section 18(b) of the Terms is replaced with the following: “Other than Fireflies' indemnification obligations under Section 4 of these Business Terms, the total liability of the Fireflies Parties for any claim arising out of or relating to these Terms or our Services, regardless of the form of the action, is limited to the total fees paid by you to Fireflies to use our Services in the 12 months preceding the date on which the first claim giving rise to liability arose.”

6. Updated Terms

Fireflies may make changes to these Business Terms to the same degree that Fireflies may make changes to the Terms. However, changes to the Terms and these Business Terms will not apply to you until 60 days after Fireflies provides you with notice, unless Fireflies informs you that the update will take effect earlier in order to comply with law or address an urgent safety or security issue.
